Site Ownership and Usage Agreement
By accessing or using the Catholic Conference of Ohio website located at www.ohiocathconf.org (the “Site”), these terms and conditions of use (“Terms”) apply. The Site is the properity of Catholic Conference of Ohio (“Catholic Conference of Ohio”, “we”, “us”, or “our”) and it licensors.
BY USING THE SITE, YOU AGREE TO THESE TERMS; IF YOU DO NOT AGREE, DO NOT USE THE SITE.
Changes to these Terms
Catholic Conference of Ohio reserves the right to at any time and at its sole discretion, to change, modify, add or remove portions of these Terms under which the Site is offered. It is up to you to periodically check these Terms for changes. Your continued use of the Site means that you agree to any changes to these Terms. As long as you comply with these Terms, Catholic Conference of Ohio grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site.
The Site is comprised of text, graphics, interfaces, photos, logos, sounds, music, videos, artwork, documents, and computer code (collectively, "Content"). Any such Content, including but not limited to the design, structure, selection, coordination, expression, "look and feel" and arrangement of Content, on the Site is owned, controlled or licensed either by or to Catholic Conference of Ohio, and is protected by various trade dress, copyright, trademark, patent and trademark laws, unfair competition laws, and other intellectual property rights.
Unless Content that has been purposely made available for your use on or through the Site (such as download links), or otherwise granted within these Terms, no part of the Site or Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including "mirroring") to any other computer, server, website or other medium for publication, distribution, or any commercial enterprise, without Catholic Conference of Ohio’s express prior written consent.
Your Use of the Site
You may not use any "deep-link", "page-scrape", "robot", "spider" or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Site or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Site or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Site.
You may not obtain or attempt to obtain any Content on the Site through any means not purposely made available through the Site. Including attempting to obtain unauthorized access to any portion or feature of the Site, or any systems or networks connected to the Site or to any Catholic Conference of Ohio server, or to any of the services offered on our through the Site, by hacking, password "mining" or any other illegitimate means.
You may not probe, scan or test the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures on the Site or any network connected to the Site. You may not reverse look-up, trace or seek to trace any information on any other user of or visitor to the Site, or any other customer of Catholic Conference of Ohio, including any account not owned by you, to its source, or exploit the Site or any service or information made available or offered by or through the Site, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Site.
You agree that you will not take any action that could damage, disable, overburden, or impair the Site, the infrastructure of the Site, or any systems or networks connected to the Site or to Catholic Conference of Ohio.
You agree not to any device, software or routine to interfere or attempt to interfere with the proper working of the Site, any transaction being conducted on the Site, or with any other person’s use of the Site.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and Catholic Conference of Ohio as a result of these Terms or your use of the Site.
You may not use the Site or any Content for any purpose that is unlawful or prohibited by these Terms, or to solicit the performance of any illegal activity or other activity which infringes our rights or the rights of others.
The Site may also allow you to post, upload, input, or submit text, graphics, photos, logos, sounds, music, videos, artwork, documents, computer code, or other digital files (collectively, “Submitted Content”).
Catholic Conference of Ohio does not claim ownership of any Submitted Content by you. However, by posting, uploading, inputting, submitting or otherwise providing Submitted Content, you are granting to Catholic Conference of Ohio and our service providers, affiliates, or sublicensees permission to use your Submitted Content in connection with the operations of their businesses including, without limitation the rights to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat Submitted Content; and to publish your name in connection with your Submitted Content.
No amount of compensation will be provided with respect to the use of your Submitted Content, as provided herein. Catholic Conference of Ohio is under no obligation to post or use any Submitted Content you may provide and may remove any Submitted Content at any time at our sole discretion.
You also warrant and represent to us that you own, control or have obtained the appropriate usage rights to your Submitted Content as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit your Submitted Content.
Site Communication Services
The Site may contain commenting or review systems, bulletin boards, chat areas, user groups, forums, or other messaging systems designed to let you correspond with or share your content with Catholic Conference of Ohio and other Site users, or the public at large (collectively, “Communication Services”).
These Communication Services may utilize services from third-party service providers. If so, additional terms and conditions set by the relevant third-party may apply.
Catholic Conference of Ohio is under no obligation to monitor the Communication Services. However, Catholic Conference of Ohio reserves the right to review any and all Submitted Content through the Site’s Communication Services and to remove any content at Catholic Conference of Ohio’s sole discretion.
Catholic Conference of Ohio may also disable access to or discontinue the use of any and all Communication Services at any time, without notice.
Always use caution when providing information about yourself or others (including children) in any Communication Service. Catholic Conference of Ohio does not control or endorse the content, messages or information contained in any Communication Services and, therefore, Catholic Conference of Ohio specifically disclaims any liability with regard to the Communication Services and any actions resulting from your use of any Communication Services.
Any Submitted Content available on or through the Site’s Communications Services are the views and opinions of the participants and do not necessarily reflect the views and opinions of Catholic Conference of Ohio, our service providers, affiliates, or sublicensees.
Other Usage Terms
Additional terms and conditions may apply to purchases of goods or services and to specific portions or features of the Site, including contests, promotions or other similar features, all of which terms are made a part of these Terms by this reference. You agree to abide by such other terms and conditions, including where applicable representing that you are of sufficient legal age to use or participate in our websites, products, or services. If there is a conflict between these Terms and the terms posted for or applicable to a specific portion of the Site or for any service offered on or through the Site, the latter terms shall control with respect to your use of that portion of the Site or the specific service or feature.
Catholic Conference of Ohio's obligations, if any, with regard to its products and services are governed solely by the agreements pursuant to which they are provided, and nothing on this Site should be construed to alter such agreements.
Catholic Conference of Ohio may make changes to any information, products or services contained or offered on the Site, including the applicable prices for any such products or services, at any time, without notice. The materials on the Site with respect to products and services may be out of date, and Catholic Conference of Ohio makes no commitment to update the materials on the Site with respect to such products and services.

You agree to indemnify and hold Catholic Conference of Ohio, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against Catholic Conference of Ohio by any third party either due to, in connection with, or arising out of your use of the Site.
Violation of These Terms
Catholic Conference of Ohio may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) Catholic Conference of Ohio’s rights or property, or the rights or property of visitors to or users of the Site, including Catholic Conference of Ohio’s customers. We reserve the right at all times to disclose any information that we deem necessary to comply with any applicable law, regulation, legal process or governmental request. We also may disclose your information when we determine that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.
You acknowledge and agree that Catholic Conference of Ohio may preserve any transmittal or communication by you with Catholic Conference of Ohio through the Site or any service offered on or through the Site, and may also disclose such data if required to do so by law or if we determine that such preservation or disclosure is reasonably necessary to (1) comply with legal process, (2) enforce these Terms, (3) respond to claims that any such data violates the rights of others, or (4) protect the rights, property or personal safety of Catholic Conference of Ohio, its employees, users of or visitors to the Site, and the public.
You agree that we may, at our sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if we determine that you have violated these Terms or other agreements or guidelines which may be associated with your use of the Site. You also agree that any violation by you of these Terms will constitute an unlawful and unfair business practice, and will cause irreparable harm to Catholic Conference of Ohio, for which monetary damages would be inadequate, and you consent to Catholic Conference of Ohio obtaining any injunctive or equitable relief that we deem necessary or appropriate in such circumstances. These remedies are in addition to any other remedies we may have at law or in equity.
You agree that we may, at our sole discretion and without prior notice, terminate your access to the Site, for cause, which includes (but is not limited to) (1) requests by law enforcement or other government agencies, (2) a request by you (self-initiated account deletions), (3) discontinuance or material modification of the Site or any service offered on or through the Site, or (4) unexpected technical issues or problems.
If we do take any legal action against you as a result of your violation of these Terms, we will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to us. You agree that we will not be liable to you or to any third party for termination of your access to the Site as a result of any violation of these Terms.
Governing Law / Dispute Resolution
To the maximum extent permitted by law, these Terms is governed by the laws of the United States and the State of Ohio and you hereby agree to the exclusive jurisdiction and venue of courts in Franklin County, Ohio in any and all disputes arising out of or relating to the use of the Site and waive any objection to such jurisdiction or venue. Any claim under these Terms must be brought within six (6) months after the cause of action arises, or such claim or cause of action is barred. Claims made under the separate terms and conditions of purchase for goods and services are not subject to this limitation. No recovery may be sought or received for damages other than out-of-pocket expenses, except that the prevailing party will be entitled to costs and attorneys’ fees. In the event of any controversy or dispute between Catholic Conference of Ohio and you arising out of or in connection with your use of the Site, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.
Void Where Prohibited
Catholic Conference of Ohio administers and operates the Site from its location in Columbus, Ohio USA. Although the Site is accessible worldwide, not all information, content, services or features discussed, referenced, provided or offered through or on the Site are available or appropriate for use outside of the United States. Catholic Conference of Ohio reserves the right to limit, in its sole discretion, the provision and quantity of any feature, product or service to any person or geographic area. Any information, content, services or features made available on the Site is void where prohibited.
If you access the Site from outside the United States, you do so on your own initiative and you are solely responsible for complying with applicable local laws.
You may not use or export or re-export any Content or any copy or adaptation of such Content, or any product or service offered on the Site, in violation of any applicable laws or regulations, including without limitation United States export laws and regulations.
Catholic Conference of Ohio’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Catholic Conference of Ohio's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site, Content, Services or any Submitted Content provided to or gathered by Catholic Conference of Ohio with respect to such use.
If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
Unless otherwise specified herein, these Terms constitute the entire agreement between the you and Catholic Conference of Ohio with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Catholic Conference of Ohio with respect to the Site.
A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
It is the express wish to the parties that these Terms and all related documents be drawn up in English.
